Welcome to DeductIP. These Terms of Service ("Terms") govern your access to and use of the DeductIP website and services. By accessing or using our services, you agree to be bound by these Terms.
1. Description of Service
DeductIP provides AI-powered expense categorization and analysis tools designed to help freelancers, consultants, and small business owners identify and flag potential tax deductions for further review. Our service analyzes expense data you provide and offers categorization suggestions based on your business profile.
IMPORTANT DISCLAIMER — PLEASE READ CAREFULLY:
DeductIP is an informational tool only. We are not a tax preparation service, accounting firm, law firm, or licensed financial advisor. The categorizations, suggestions, and outputs provided by DeductIP:
- Do not constitute tax advice, legal advice, or financial advice of any kind
- Are not a substitute for professional guidance from a licensed Certified Public Accountant (CPA), Enrolled Agent (EA), tax attorney, or other qualified tax professional
- Should not be directly transferred to any tax form, tax return, or official tax filing without independent verification by a qualified professional
- Are not guaranteed to be accurate, complete, compliant with current tax law, or appropriate for your specific tax situation
- Do not represent an interpretation of IRS guidelines, state tax regulations, or any tax authority's position

DeductIP expressly disclaims any and all liability for tax penalties, interest, audits, or any other consequences resulting from your use of our service or reliance on our outputs.
2. Intended Use and Limitations
DeductIP is designed solely to help you identify and organize expenses that may warrant further review as potential business deductions. The service is intended to:
- Flag expenses that might be deductible based on general business expense categories
- Help you organize and categorize expenses for easier review with your tax professional
- Save you time in preparing materials to discuss with your accountant or tax advisor
- Prompt you to ask your tax professional about expenses you might otherwise overlook
DeductIP is not intended to:
- Replace professional tax preparation services or licensed tax advisors
- Provide definitive answers about what you can or cannot deduct
- Help you avoid, evade, or minimize taxes in ways not sanctioned by law
- Generate outputs suitable for direct use in tax filings without professional review
- Interpret complex tax situations, elections, or special circumstances
Tax law is complex, varies by jurisdiction, and changes frequently. What qualifies as a legitimate business deduction depends on numerous factors specific to your situation that DeductIP cannot fully evaluate. Only a qualified tax professional reviewing your complete financial picture can determine what deductions are appropriate for your tax return.
3. Account Registration
To use certain features of our service, you must create an account. You agree to:
- Provide accurate and complete information during registration
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities that occur under your account
4. Acceptable Use
You agree not to:
- Use the service for any illegal purpose or in violation of any laws
- Upload malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the service to process data belonging to others without their consent
- Reverse engineer, decompile, or attempt to extract the source code of our software
- Resell, sublicense, or commercially exploit the service without our written permission
5. Your Data
You retain ownership of all data you upload to DeductIP. By using our service, you grant us a limited license to process your data solely to provide the services you request. We will not sell your data or use it for purposes unrelated to providing our services.
You are responsible for maintaining backups of your data. While we implement reasonable security measures, we cannot guarantee against data loss.
6. AI-Generated Content and Output Limitations
Our service uses artificial intelligence to analyze your expenses and suggest categorizations. You expressly acknowledge and agree that:
- AI suggestions are preliminary only: All categorizations, flags, and recommendations are starting points for discussion with your tax professional, not final determinations
- Errors are possible and likely: AI systems can and do make mistakes, misinterpret data, or apply incorrect categorizations
- Context limitations: Our AI cannot fully understand the context, intent, or circumstances surrounding each expense the way a human professional can
- No guarantee of deductibility: A "business" categorization by DeductIP does not mean the expense is legally deductible on your tax return
- Tax law compliance is your responsibility: You are solely responsible for ensuring any deductions you claim comply with applicable tax laws
- Professional verification required: You must have all categorizations reviewed and approved by a licensed tax professional before relying on them for any tax filing
- No audit protection: DeductIP outputs do not constitute documentation sufficient for IRS audit purposes and do not protect you in the event of an audit
By using DeductIP, you agree that you will not file any tax return or claim any deduction based solely on DeductIP's output without first obtaining independent verification from a licensed CPA, Enrolled Agent, or tax attorney.
7. Subscription and Payment
Some features of DeductIP require a paid subscription. By subscribing, you agree to:
- Pay the applicable fees as described at the time of purchase
- Provide accurate billing information
- Authorize us to charge your payment method on a recurring basis
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods.
8. Intellectual Property
The DeductIP service, including its design, features, and content, is owned by B Degree and is protected by intellectual property laws. You may not copy, modify, or distribute our service or any part of it without our written permission.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE SPECIFICALLY AND EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES THAT:
- OUR EXPENSE CATEGORIZATIONS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR TAX FILING PURPOSES
- THE SERVICE WILL IDENTIFY ALL POTENTIAL DEDUCTIONS OR CORRECTLY CATEGORIZE ANY PARTICULAR EXPENSE
- USE OF THE SERVICE WILL RESULT IN ANY TAX SAVINGS, BENEFITS, OR FAVORABLE TAX TREATMENT
- THE SERVICE COMPLIES WITH OR REFLECTS CURRENT TAX LAW, IRS GUIDANCE, OR STATE TAX REGULATIONS
- THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE AND ANY OUTPUTS GENERATED BY THE SERVICE IS AT YOUR SOLE RISK.
10. Limitation of Liability and Release
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
DEDUCTIP, B DEGREE CREATIVE & COMMUNICATIONS, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- TAX PENALTIES, INTEREST, OR ADDITIONAL TAXES OWED
- COSTS OF TAX AUDITS, INVESTIGATIONS, OR EXAMINATIONS
- PROFESSIONAL FEES INCURRED TO CORRECT TAX FILINGS
- LOST TAX BENEFITS OR DEDUCTIONS
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- DAMAGE TO REPUTATION OR CREDIT
- ANY OTHER FINANCIAL OR NON-FINANCIAL HARM
ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, YOUR RELIANCE ON ANY OUTPUT OR CATEGORIZATION PROVIDED BY THE SERVICE, OR ANY DECISIONS YOU MAKE BASED ON INFORMATION FROM THE SERVICE, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
YOU HEREBY RELEASE AND FOREVER DISCHARGE DeductIP, B Degree, and their respective officers, directors, employees, agents, and affiliates from any and all claims, demands, damages, costs, and causes of action arising from or related to your tax filings, tax obligations, or any actions taken by the IRS, state tax authorities, or any other governmental agency.
11. Indemnification
You agree to indemnify, defend, and hold harmless DeductIP, B Degree, and their officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:
- Your use of the service or any outputs generated by the service
- Any tax return, tax filing, or deduction claim you make based in whole or in part on information from the service
- Any audit, investigation, examination, or inquiry by the IRS, state tax authorities, or any other governmental agency
- Your violation of these Terms
- Your violation of any applicable tax law, regulation, or filing requirement
- Any claim by a third party arising from your use of the service
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the service after changes are posted constitutes acceptance of the modified Terms.
13. Termination
We may suspend or terminate your access to the service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Cook County, Illinois.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DeductIP regarding your use of the service.
